These Terms of Service are an agreement between you and 内蒙古优讯通讯有限责任公司 governing your use of the uxtrade.net website and the "优讯通讯" WeChat Mini Program (together, the "Platform"). Please read and understand these terms before registering an account, submitting an enquiry or using the Platform.
Key points
- The Platform is an entry point for product display and business communication; information shown on the web pages is not a final quotation or contract.
- The subject matter, price, schedule, warranty and liability of a specific transaction are governed by the written quotation or contract signed by both parties.
- Please provide true and accurate contact information and keep your account and password safe.
- Intellectual property in the platform content and system code belongs to us or the respective rights holders; do not copy or mirror it without authorisation.
1. Acceptance and changes
By visiting or browsing the Platform, or by registering an account, submitting an enquiry, using online consultation or submitting a repair request, you confirm that you have read and agree to these terms. If you do not agree, please stop using the Platform.
We may update these terms in line with business and legal changes; updates are published on this page with a new version number and effective date, and take effect on publication. Continued use of the Platform constitutes acceptance of the updated terms.
2. Services
The Platform provides the following information services and business functions:
- display and search of products, solutions, engineering services and news content;
- online enquiries, quotation viewing, online consultation and online repair requests;
- website account registration and sign-in, WeChat Mini Program sign-in and account information maintenance;
- supporting functions such as software downloads and document access.
We may add, adjust or discontinue features and will note this on the pages concerned. We do not promise that the Platform will never be interrupted; where maintenance, upgrades, faults, network issues or force majeure suspend or interrupt the service, we will restore it as quickly as we reasonably can.
3. Account rules
- You must provide true, accurate and complete registration information and keep it up to date.
- An account is for your own use, or for use by personnel authorised by your organisation. Do not transfer, lend or share it.
- You must keep your account and password safe; losses caused by inadequate safekeeping are your responsibility. Contact us immediately if you notice anything unusual.
- If you provide false information, impersonate others, or your account poses a security risk, we may restrict or stop providing the service.
- Account closure channels and timelines are set out in Section 9 of the Privacy Policy.
4. Acceptable use
When using the Platform you must not:
- submit false, unlawful, infringing, abusive, pornographic, violent or malicious-code content;
- collect, copy or scrape Platform data without authorisation, or use automated means to send excessive requests;
- attack, intrude into or interfere with the Platform or its related systems, or attempt to bypass security measures;
- publish information in our name or a third party's name, or engage in any activity that violates laws or regulations.
If you breach these rules we may delete the relevant content, restrict functions or stop the service; where an offence may have been committed we will report it to the competent authorities and cooperate with their investigation.
5. Quotations, contracts and orders
- Product names, images, specifications and reference prices shown on the pages are general information and do not constitute an offer; actual supply is governed by the order confirmation or written contract.
- We issue quotations based on the requirement information you provide. A quotation normally states a validity period; if it is not confirmed within that period, price and lead time may change.
- Once a quotation or contract is confirmed or signed by both parties it takes effect, and its terms (subject matter, quantity, price, delivery, acceptance, payment, warranty, breach and dispute resolution) prevail over the general descriptions of transactions in these terms.
- Where installation work is involved, the schedule, acceptance criteria and safety responsibilities are agreed separately in the contract and according to site conditions.
6. Price, payment and invoices
Prices are as agreed in the quotation or contract and are normally in RMB, with or without tax as stated on the document. Payment method, credit terms, invoice type and billing details follow what the parties agree. Third-party logistics, installation or travel costs are itemised separately as agreed.
7. Intellectual property
Intellectual property in the Platform's page design, text, images, layout, software code, management systems and interfaces, and in our own trademarks, logos and copy, belongs to us or the respective rights holders.
Without our written permission, no one may copy, mirror, scrape, reverse engineer, redistribute or commercially exploit that content. Where reproduction is authorised, the source must be attributed and the original marks retained.
Rights in content you submit to the Platform (such as requirement descriptions and uploaded images) remain with you or the original rights holder. To perform the service you authorise us to use, store and display that content to the extent necessary (for example using site photos for fault diagnosis and after-sales records).
8. Third-party content and links
The Platform may display third-party brand names, model numbers, images, specifications or links to third-party websites. Such content is used only to describe products and services and the rights belong to the respective holders. Third-party sites are responsible for their own content and availability; please read their terms and privacy policies before use.
9. Limitation of liability
We make reasonable efforts to keep displayed information accurate, but product documentation may differ from the physical item because of manufacturer revisions, batch differences or input delays; see the Disclaimer.
To the extent permitted by law, we are not liable for losses arising from your breach of these terms or your improper use of the Platform; for indirect loss, loss of expected profit or loss of data, our liability is limited to the service fees you have actually paid for the relevant transaction (unless a mandatory legal provision provides otherwise).
Nothing in this clause excludes or limits liability that cannot lawfully be excluded or limited.
10. Suspension and termination
We may suspend or terminate the service to you if: you seriously breach these terms; the law or a competent authority requires it; it is necessary to protect the Platform and other users; or the Platform is discontinued or restructured. After termination, the clauses on intellectual property, limitation of liability and dispute resolution remain in force.
11. Notices
We may send notices through Platform announcements, on-site prompts, or the email address or mobile number you registered. The contact details in your registration are deemed a valid address for service; if you change them without updating your registration, you bear the consequences.
12. Governing law and disputes
The formation, validity, interpretation and dispute resolution of these terms are governed by the laws of the mainland of the People's Republic of China.
Disputes arising from these terms should be resolved through friendly negotiation; if negotiation fails, they shall be submitted to the competent people's court where we are domiciled. Where a specific transaction contract provides otherwise, that contract prevails.
13. Miscellaneous
These terms, together with the Privacy Policy, Disclaimer and Report and Infringement Complaints pages, form the complete agreement for your use of the Platform. If one clause is held invalid, the remaining clauses remain effective.
The Simplified Chinese version of these terms prevails; translations are for reference only and the Simplified Chinese version governs in case of ambiguity.
